Incorporating a Corporation in Ohio

Corporate Name Requirements

Names of Ohio corporations should not be confused with any corporate, not-for-profit, limited liability company, limited liability partnership, limited partnership or trade names. Company Express will research your company name to make sure it meets Ohio’s standards.

Permitted designations: Ohio corporate names must contain one of the following words at the end of the name:

• Co.
• Company
• Corp.
• Corporation
• Inc.
• Incorporated
• Limited
• Ltd.

Restricted designations: The use of the following words in corporation’s name will require approval by the state:

• Bank
• Insurance

Filing Requirements

Required documents: Articles of Incorporation filed with the Secretary of

Follow-up filings: Not required.

Officers/Directors Information

Minimum number: Corporations must have not less than three directors, unless there are only one or two shareholders. In such case the number of directors may be less than three but not less than the number of shareholders.

Director qualifications: No provisions..

Appearance in articles: Director names and addresses are required to be listed in the Articles of Incorporation.

Principal office location / Registered Agent

Corporation’s principal office has to be located inside the state of Ohio. Local registered agent also required.

Annual Reports

Ohio does not require corporations to file an annual report.
